Terms of Service

By accessing and using Yvonnetex's website, products, or manufacturing services, you accept and agree to be bound by the terms and provisions of this agreement. These Terms of Service ("Terms") govern your use of our website, manufacturing services, and related services (collectively, the "Service") operated by Yvonnetex ("us", "we", or "our").

If you do not agree to abide by the above, please do not use this service. We reserve the right to change these Terms at any time with reasonable notice to our clients.

Yvonnetex provides OEM manufacturing services for active wear, swimwear, and underwear to qualified business clients. Our services include:

• Product development from concept to production
• Custom manufacturing using premium materials (polyester, nylon, cotton, modal, linen)
• Quality control and compliance with international standards (OEKO-TEX, SMETA, GRS, HIGG)
• Flexible MOQ arrangements based on product specifications

All manufacturing services are provided under separate manufacturing agreements that supplement these Terms.

To access our manufacturing services, clients must meet the following requirements:

• Valid business registration and tax identification
• Demonstrated experience in textile/apparel industry or retail
• Agreement to minimum order quantities as specified in quotations
• Compliance with our payment terms and credit requirements
• Acceptance of our quality standards and manufacturing specifications

We reserve the right to verify client qualifications and may require additional documentation or references.

All products manufactured by Yvonnetex adhere to strict quality standards maintained by our experienced quality control team with over 10 years of expertise. Product specifications include:

• Compliance with international textile standards (OEKO-TEX, SMETA, GRS, HIGG)
• ISO 9001 manufacturing processes across our 16 production lines
• Material specifications as agreed in manufacturing contracts
• Size and fit specifications according to approved samples

Any deviations from agreed specifications must be approved in writing by both parties. We guarantee product quality according to approved samples and specifications.

Our manufacturing process follows these key stages:

• Inquiry and Quotation: Fast response to client requirements with detailed quotations
• Sample Development: Creation and approval of pre-production samples
• Production Planning: Scheduling based on our 16 production lines capacity
• Quality Control: Rigorous inspection by our experienced QC team
• Delivery: Timely shipment according to agreed schedules

All orders require written confirmation and are subject to our production capacity and material availability. We provide regular updates throughout the manufacturing process.

Payment terms are established based on client relationship and order value:

• New clients: 50% deposit upon order confirmation, 50% before shipment
• Established clients: Terms negotiable based on credit history and order volume
• Sample orders: Payment in full before production
• Accepted payment methods: T/T (wire transfer), L/C (Letter of Credit)

Late payments may result in production delays and additional charges. All prices are quoted FOB Xiamen, China unless otherwise specified.

Delivery terms and responsibilities:

• Standard delivery terms: FOB Xiamen Port, China
• Delivery schedules confirmed in manufacturing agreements
• Risk and title transfer upon delivery to carrier at origin
• Shipping delays due to force majeure events beyond our reasonable control

We work with reliable freight forwarders to ensure timely delivery to USA, UK, Germany, Greece, Israel, Taiwan, and other international destinations.

Yvonnetex respects and protects intellectual property rights:

• Client designs, patterns, and specifications remain client property
• We maintain strict confidentiality of all client information
• No unauthorized reproduction or distribution of client designs
• Our manufacturing processes and techniques remain our proprietary information

Both parties agree to maintain confidentiality of sensitive business information and manufacturing details.

Our quality assurance program includes:

• Pre-production sample approval process
• In-line inspection during production
• Final inspection before shipment
• Quality certificates and test reports as required

Claims for manufacturing defects must be reported within 30 days of delivery with supporting documentation. We will investigate all quality claims and provide appropriate remedies for confirmed manufacturing defects.

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to:

• Natural disasters, pandemics, or government actions
• Labor strikes or material shortages
• Transportation delays or port congestion
• Changes in trade regulations or customs procedures

We will promptly notify clients of any force majeure events and work together to minimize impact on delivery schedules.

Yvonnetex's liability for any claims related to manufacturing services shall be limited to:

• Replacement or repair of defective products confirmed as manufacturing defects
• Refund of payments for undelivered goods due to our default
• Maximum liability not exceeding the value of the specific order in question

We shall not be liable for indirect, consequential, or punitive damages, including but not limited to lost profits, market opportunities, or business interruption.

These Terms shall be governed by the laws of the People's Republic of China. Any disputes arising from these Terms or related manufacturing agreements shall be resolved through:

• Good faith negotiation between the parties
• Mediation through recognized commercial mediation services
• Arbitration in accordance with international commercial arbitration rules

The place of arbitration shall be Xiamen, China, with proceedings conducted in English.

We may update these Terms periodically to reflect changes in our services, legal requirements, or industry standards. Significant changes will be communicated to active clients with reasonable advance notice.

Continued use of our services after notification of changes constitutes acceptance of the updated Terms. Individual manufacturing agreements may contain specific terms that supplement these general Terms.
